Welcome to MWD Host Company. These Terms and Conditions govern your use of our website, mobile applications, web applications, and all related services provided by MWD Host Company. By accessing or using our services, you agree to be bound by these Terms.
"Company," "We," "Us," "Our" refers to MWD Host Company.
"Client," "You," "Your" refers to the individual or entity using our services.
"Services" includes software mobile app development, website design, web application development, AI integration, and related consulting.
"Deliverables" means all code, designs, documentation, and assets created for you under a project agreement.
We provide software mobile app development, website design, webapp development, and AI integration services. All projects are governed by a separate Statement of Work (SOW) or Project Proposal that outlines the specific scope, timeline, milestones, and fees. These Terms are incorporated into every SOW.
We deliver on our three core pillars:
You agree to provide timely access to necessary information, resources, personnel, and access credentials required for project execution. Delays in client feedback or resource provision may extend project timelines and affect delivery dates.
Upon full payment of all project fees, we assign to you ownership of the final custom-developed source code, design files, and Deliverables created specifically for your project. We retain ownership of pre-existing tools, libraries, frameworks, background IP, and proprietary methodologies used during development. You grant us a royalty-free license to display your project in our portfolio and marketing materials unless a separate Non-Display Agreement is signed.
Our solutions may integrate third-party services, APIs, open-source libraries, or AI models. We facilitate these integrations and provide guidance, but do not warrant the continued availability or performance of third-party services. For AI features, you acknowledge that artificial intelligence outputs may vary and require human oversight for critical decisions.
Fees are set forth in the SOW. Standard payment milestones include an advance payment before work commencement and subsequent milestone-based payments. We reserve the right to suspend work if payments are overdue by more than 15 days. Project files will be handed over only after all dues are cleared. All fees are non-refundable except where expressly stated in the SOW.
We make every effort to adhere to agreed timelines. Scope changes requested after project kickoff will be managed through a Change Request process, which may add cost and extend deadlines. Each project includes a defined number of revision rounds; additional revisions may incur extra charges.
Each party agrees to protect the other's confidential information using reasonable care. Confidential information includes proprietary business data, trade secrets, source code, and project documentation. This obligation survives the termination of the agreement for three years.
To the maximum extent permitted by law, MWD Host Company shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities arising from our services. Our total aggregate liability for any claim related to a project is limited to the total fees you paid for that specific project.
We warrant that Deliverables will substantially conform to the agreed specifications for 30 days after delivery ("Warranty Period"), during which we fix reported bugs at no additional cost. Post-warranty support and maintenance are available under a separate agreement. All services are provided "as available" without warranty of uninterrupted or error-free operation beyond this stated warranty.
Either party may terminate a project with 15 days' written notice. If you terminate, you agree to pay for all work completed up to the termination date plus any non-cancellable third-party expenses incurred. We retain all rights to Deliverables for which payment has not been made.
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in India.
